John Easterbrook
John (Jack) Easterbrook is a member of Silicon Valley Law Group's Financial Services and Real Estate Groups where he represents financial institutions, business entities and individuals in matters concerning commercial financing, real estate transactions, creditor's rights, contract matters and insolvency. His practice includes documenting complex transactions as well as dispute resolution, with extensive experience in the following:
- Negotiating and documenting new and restructured loan transactions including financings secured by real property, business assets or mixed collateral, and those supported by guaranties;
- Negotiating or litigating matters concerning problem loans, real estate, construction, and contract disputes;
- Documenting sales and assignments of loans;
- Analyzing issues under the Uniform Commercial Code involving taking and perfecting security interests, and protecting rights with respect to negotiable instruments and bank payment systems;
- Litigating in state and federal courts: preparing and attacking pleadings, exercising provisional remedies including writs of attachment, writs of possession and appointment of receivers; conducting discovery, drafting motions and advocating orally on behalf of clients in court;
- Representing parties in bankruptcy and insolvency proceedings to assert and protect rights including obtaining relief from the automatic stay, litigating rights under security agreements, developing cash collateral stipulations and other "first day" agreements, asserting lease rejection claims for landlords and defending preference claims;
- Conducting foreclosures of real and personal property collateral, pursuing judicial foreclosure actions, overseeing trustee sales of real property, and working with title companies and trustees.
Before entering the practice of law, Jack spent twelve years with Wells Fargo Bank in corporate lending and management positions responsible for asset based and real estate secured financings.
Representative Engagements
- Represented an institutional lender in negotiating, developing documents and closing a significant commercial loan transaction secured by real property, ground leases and business assets.
- Represented a borrower defeasing a real estate loan held by Fannie Mae, secured by an out of state apartment project, including negotiation of documents and preparation of an opinion letter.
- Obtained payoff of an unsecured loan that had been written off by an institutional lender, through workout efforts and litigation. Commenced legal action and obtained a temporary protective order against the defaulting borrower, which led to prompt payoff as the borrower could not complete a sale of fractional interests in real estate without satisfying the lender.
