LOAN STRUCTURING & DOCUMENTATION

We assist financial institutions in preparing credit agreements, promissory notes, security instruments, guaranties and other documents of complex credit facilities. We negotiate and draft inter-creditor agreements for syndicated and participation loans. BANKRUPTCY & REORGANIZATION
Our lawyers have extensive experience in the bankruptcy courts of New York, Delaware and Arizona, and in the Northern, Eastern and Central Districts of California. We concentrate on Chapter 11 and 12 reorganizations as well as business liquidations. We can oppose confirmation of debtors' plans of reorganization, propose creditor plans, object to the discharge (and dischargeability) of specific debts, obtain relief from stay, supervise the sale of assets, object to the fees of debtors' professionals, defend preference avoidance actions, defend challenges to the validity and priority of banks' liens, oppose the use of cash as collateral, and prosecute a variety of adversary proceedings and contested matters.LITIGATION & ALTERNATIVE DISPUTE RESOLUTION
We represent creditors in state and federal courts throughout California. We also serve as counsel to creditors in arbitrations, mediations and other forums for alternative dispute resolution. We are skilled at obtaining judicial enforcement of promissory notes, guaranties and security instruments. To reduce costs, our attorneys negotiate stipulations to judgment and we seek arbitration awards, summary judgment and other resolutions short of trial. We are adept at locating assets, penetrating asset-protection partnerships and successfully enforcing judgments. Throughout the course of an engagement, we weigh the projected recovery against anticipated fees and expenses - adjusting the action plan as necessary. Within the determined guidelines, we aggressively enforce creditor's rights.We advise creditors in enforcing their remedies, both in court and with non-judicial actions. We have successfully restructured a wide variety of commercial, high technology and real estate loans - including loan workouts, deeds in lieu of foreclosure, forbearance agreements and other negotiated solutions. We are especially familiar with California's one-action and anti-deficiency laws, having supervised numerous non-judicial and judicial foreclosures on real property. We regularly counsel secured creditors and lessors concerning public and private sales of personal property collateral, collection of borrowers' accounts receivable, and the exercise of other rights under the Uniform Commercial Code.
We are experienced in obtaining the full range of creditor remedies available from the courts - including pre-judgment attachment, orders for possession of personal property, receiverships, protective orders and injunctive relief.
